1. Introduction and Scope
We may modify this Contract and our Privacy Notice from time to time. If we make material changes to it, we will provide you notice through our Services, or by other means, to provide you the opportunity to review the changes before they become effective. If you object to any changes, you should not continue using the Services and may close your account. Your continued use of our Services after we publish or send a notice about our changes to these terms means that you are consenting to the updated terms.

However, if certain of our Services were purchased by another party for you to use (e.g. if you are an HR employee and subscription to our Services is paid by your employer), the party paying for such Service has the right to control access to and get reports on your use of such paid Service.
You (or your employer) owns the content and information that you submit or post to the Services, and you are granting us a worldwide, transferable and sub-licensable right to use, copy, modify, distribute, publish, and process, information and content that you provide through our Services, without any further consent, notice and/or compensation to you or others.
If the content you provide through our Services includes personal information, it is subject to our Privacy Notice.
You agree to only provide content or information that does not violate the law nor anyone’s rights (including intellectual property rights).
5. Authorized Use
You cannot change or alter the Content or mingle it with other information or publish it in any form whatsoever, in whole or in part. Prohibited uses include “screen scraping”, “database scraping” and any other activity, whether automated or not, whose intended purpose is to collect, store, reorganize or manipulate the Content. Any exemption from the foregoing is subject to the prior written consent of Sourcinc.
The Services are works protected by the copyright of Sourcinc or its partners. Subject to the License paragraph above, the components of the Services are also protected by such copyright and are the property of Sourcinc or are reproduced on the Services under licence (the entirety of the components of the Services is collectively termed the “Content”).
The trademarks used on the Services, including but not limited to SOURCINC and Aura Executives Search and the SOURCINC and Aura Executives Search logos are the property of Sourcinc, its partners or third parties. No right or licence in these trademarks is granted to you unless authorized in writing by the owner thereof.
The Services contain links to websites operated by third parties over which Sourcinc has no control. When these links are activated from the Services, they may cause a new browsing window to open and the URL of the referenced website to appear on the navigation bar of your search engine. You understand and agree that Sourcinc is in no way responsible for any activities that transpire on these websites or any damages they may cause.
9. Limitation of Liability and Warranty
Sourcinc makes no representation regarding the relevance of the Content or the Services. The Content, including the information shown on the Services and the information generated thereby, is presumed to be reliable, but we cannot guarantee that it is exhaustive, accurate or up-to-date. To the full extent authorized by applicable law, the Content and the Services are provided to you “as is”, without any warranty whatsoever. None of Sourcinc or any of its affiliates can be held liable for any direct, incidental, secondary, indirect or punitive damages flowing from your access to or use of the Content or the Services.
10. No Waiver
No failure or delay on the part of Sourcinc to ensure compliance with the terms and conditions of these Terms shall be construed as the waiving of its right to ensure compliance with any right or privilege that it may have hereunder.
11. Control Measures
We reserve the right, in our entire discretion and at any time, to ask you to substantiate your compliance with these Terms. In that regard, we may ask you to communicate with us orally and to provide us with any document or information substantiating your use (or use by your employees or other individuals working for you) of the Content and the Services. You must respond to such requests without delay. Sourcinc will then take whatever measures it, in its entire discretion, deems justified in light of your response, and may in particular temporarily or permanently interrupt your access (or that of your employees or other individuals working for you) to some or all of the Services.
12. Denial of Access
Sourcinc retains the right, in its entire discretion, to cancel, limit or suspend your access to some or all of the Services without prior notice and without thereby incurring any liability, for any reason whatsoever, including any breach of these Terms.
13. Applicable Law
These Terms are governed by the laws of the province of Québec, Canada. To the extent allowed under applicable law, the courts in Montréal, Québec shall have exclusive jurisdiction to hear and resolve any dispute in connection with these Terms.
